1. Introduction
Welcome to TallyWise. By accessing our website or using our financial and bookkeeping services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.
2. Services Provided
TallyWise provides outsourced bookkeeping, fractional CFO, tax strategy, and payroll management services. The specific scope of services to be provided will be detailed in a separate Statement of Work (SOW) or Engagement Letter signed by both parties.
3. Client Responsibilities
You agree to provide accurate, complete, and timely financial information required for us to perform our services. We are not responsible for errors or compliance issues resulting from inaccurate or delayed data provided by you.
4. Confidentiality
We take data security seriously. Both parties agree to maintain the confidentiality of all proprietary information disclosed during the engagement. We utilize bank-level encryption and secure portals for document transfers.
5. Fees and Payment
Fees for our services are billed on a flat monthly retainer basis unless otherwise specified in your SOW. Payments are due upon receipt of the invoice. We reserve the right to suspend services for accounts that are 30 days past due.
6. Limitation of Liability
To the maximum extent permitted by law, TallyWise shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly.
7. Termination
Either party may terminate the engagement with 30 days written notice, unless otherwise specified in your specific Engagement Letter. Upon termination, you remain liable for all fees incurred up to the date of termination.
8. Changes to Terms
We reserve the right to modify these terms at any time. We will notify active clients of any material changes. Continued use of our services constitutes acceptance of the updated terms.
